Article 1: Organization |
The New Otani Club (hereinafter referred to as "NOC") is a membership organization operated by New Otani Co., Ltd. (hereinafter "New Otani"). |

Article 2: Membership |
NOC membership consists of domestic memberships and international memberships.
(Depending on the category of membership, there are also membership cards with credit card functions, and family membership programs.) |

Article 3: Purpose |
The purpose of NOC is to provide a membership program consisting of services beneficial for users of New Otani Group Hotels and Associate Hotels, so as to ensure that its members can relax in true hospitality and will be welcomed back anytime. |

Article 4: Membership Qualification |
An applicant who has been qualified as eligible after examination of the submitted application documents by either New Otani or an entrusted screening corporation will be accepted as a member of NOC (hereinafter "Member"). Application may be rejected in the event that the application form is incomplete. New Otani has the discretion to determine eligibility. An NOC membership card will be sent from either the NOC Center Office (hereinafter "NOC Center") or the relevant credit card company to applicants who have been accepted as Members. |

Article 5: Admission and Annual Membership Fees |
No admission fee or annual fees are charged for NOC membership. However, membership cards with credit card functions require a separate annual fee based on the terms and conditions of the respective credit card companies. |

Article 6: Membership Card |
NOC membership cards are valid only when used by the person whose name is imprinted on the face of the card, and the card shall, under no circumstances, be lent or transferred to other persons. Members holding membership cards with credit card functions are able to use the credit card functions set out by the terms and conditions of the respective credit card companies. |

Article 7: Expiration Date |
The expiration date for domestic memberships is imprinted on each card. However, membership cards with credit card functions will be renewed according to the terms and conditions of the credit card company. |

Article 8: Membership Benefits |
The Members are granted benefits set out by each hotel or facility when staying, dining, or holding banquets/weddings at New Otani Group Hotels or Associate Hotels. A person introduced by a Member is also granted benefits set out in respective regulations or by respective hotels or facilities, provided that such person will observe the regulations stipulated herein. |

Article 9: Point Program |
The New Otani Club Point Program Terms and Conditions, stipulated separately, shall apply to NOC's Point Program. |

Article 10: Rejection |
New Otani may deny membership to an applicant when any one of the following cases applies: |
1) |
when any information submitted in the application form is false, |
2) |
when the applicant has any history of payment delay or any other trouble at New Otani Group Hotels or Associate Hotels, |
3) |
when the applicant is found to have any relation with any organized crime group or antisocial organization stipulated in the Japanese law "Act on Prevention of Unjust Acts by Organized Crime Group Members", |
4) |
when the applicant is determined as ineligible as an NOC Member, or |
5) |
when there is any other reason justifiable by social convention. |

Article 11: Various Procedures |
In the case of any of the following, the Member shall notify the NOC Center and take the required procedures. However, in the case of membership cards with credit card functions, the Member must notify the credit card company directly. |

Request for reissuance of membership card due to loss, theft or damage |
2) |
Any change in the information provided in the application form, or request of withdrawal |

Article 12: Cancellation of Membership or Disaffiliation |
If a Member applies to any one of the following, NOC membership shall be cancelled. In the case a membership is cancelled, all family memberships of such Member will also be cancelled, and all membership entitlements will be forfeited. |
1) |
when there is an infringement of the provisions on Cancellation of Membership or Disaffiliation of the respective regulations, |
2) |
when a Member does not follow the Hotel Rules & Regulations of New Otani Group Hotels or Associate Hotels, |
3) |
when there is a material change in the Member's credit standing, |
4) |
when the Member demands any other rights than the membership benefits or makes any unreasonable claims, |
5) |
when the Member becomes unreachable due to change of home or business address, |
6) |
when the Member has not used New Otani Group Hotels during the period of validity of the membership card, |
7) |
when the Member applies to any of the provisions of Article 10, or |
8) |
when there is any other reason comparable to the above |

2. In addition to the above, if a Member applies to any of the following, such Member shall be disaffiliated from NOC. In case of disaffiliation, re-admittance is, in principle, not allowed. However, as for family members of a disaffiliated Member, the above does not apply if such family member applies for a membership of his/her own and either New Otani or the entrusted screening corporation qualifies such applicant as eligible. |
1) |
when the Member has been wanted, charged, arrested, indicted, or convicted for a criminal case, or |
2) |
when the Member has been involved in any violence, assault, coercion, threatening, extortion, fraud, or similar activities |

Article 13: Change in Membership Regulations |
The regulations stipulated herein are subject to change without prior notice. In such cases the amended provisions shall become valid upon announcement of the revised regulations. |

Supplementary Provision
The above is effective as of August 1, 2007.
